Terms & Conditions

1. DELIVERABLES

Services commence on the first day of the month following receipt of your signed AGREEMENT and the initial payment, as explained in the FEES section of these Terms & Conditions.

Services provided include:

  • Hiring process assessment and recommendations at the beginning of and throughout the partnership

  • Compensation recommendations

  • Sourcing of candidates through job postings and recruitment from Talbott Talent’s network of known candidates; you have the first right of refusal on candidates sourced for your position(s) before they are offered to other organizations

  • Job posting creation and submission on one job board (costs of additional postings are the responsibility of your organization)

  • Collection of applicant materials

  • Evaluation of applicants

  • Behavioral-based interviews

  • Presentation of top candidate(s)

  • Scheduling of top candidates to meet with you

  • Guidance on hiring decisions

  • Facilitation of offers

  • Reference checks

2. FEES

Your monthly fee is determined by the number of people employed by your organization, as defined in the FEE SCHEDULE. This number includes the total of all part-time, full-time, and temporary employees. Talbott Talent understands natural fluctuations in organization size will occur. Your monthly fee will be adjusted when the number of people in your organization varies more than 15% outside the range of the number of people for your current organization size, as defined in the FEE SCHEDULE.

3. TAXES

Client shall be responsible for all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, state, or local governmental entity on any amounts payable by Client hereunder.

4. EXPENSES

No additional expenses to perform this service will be charged beyond those described in these Terms & Conditions. 

5. TECHNOLOGY

This is a virtual-only service and Talbott Talent will manage all positions and candidates through its Applicant Tracking System (ATS). ATS and other technology costs are included in the fee for services, as explained in the EXPENSES section of these Terms & Conditions. 

6. DISCLAIMER OF WARRANTIES

Talbott Talent is not responsible and shall not be held liable for the performance or actions of candidates placed.  Any advice given on hiring practices is based on Talbott Talent’s professional recruiting experience and should not be construed as legal advice. TALBOTT TALENT MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE SERVICES, INCLUDING ANY (A) WARRANTY OF MERCHANTABILITY; OR (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; OR (C) WARRANTY OF TITLE; OR (D) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.

7. RESPONSIBILITY

For a successful partnership:

You agree to give your full cooperation by providing detailed and accurate information about wages, benefits, and everything a successful candidate is expected to have in the way of experience, skills, and qualifications for each position. This includes responding to requests for input, feedback, and information requested by Talbott Talent in a timely manner.

Talbott Talent agrees to provide services as described in the DELIVERABLES section of these Terms & Conditions.

Both parties agree to maintain confidentiality during the term of this agreement and for a period of five years after the agreement terminates, including information about:

  • Your organization’s employees

  • Candidates sourced

  • Talbott Talent’s strategies, processes, work products, and fees

8. DURATION

Your signature on the AGREEMENT confirms:

Your acceptance of these Terms & Conditions, which may be updated from time to time, with notification provided to you in writing, prior to the revision effective date.

Your commitment to an initial 12-month term and a binding agreement to payment of the fees associated with those 12 months, regardless of early cancellation. Ending services prior to the conclusion of the initial 12-month term does not relieve your organization of this financial commitment, as explained in the TERMINATION section of these Terms & Conditions.

You acknowledge these services will automatically continue beyond the initial 12-month term until notification is given to end the partnership, as described in the TERMINATION section of these Terms & Conditions.

9. TERMINATION

Termination within the first year of service does not relieve your organization of the 12-month financial commitment, as explained in the DURATION section of these Terms & Conditions. An invoice for fees for the remaining months of the commitment will be issued and due within ten (10) days.

Termination after the initial 12-month commitment may be initiated by either party, with sixty (60) days advance, written notice. In the event this occurs, Talbott Talent will conduct a thorough and orderly transition of services back to the organization.

10. OUT-OF-SCOPE

Upon the explicit, written request from you, the following services may be provided:

  • Hourly Consulting - Advice and guidance on matters outside the scope of services, as described in the DELIVERABLES section of these Terms & Conditions. A special, active Client rate of $150 per hour will be charged, provided you have not provided notice of termination of services when consultation is delivered. Talbott Talent’s regular Hourly Consulting Rate is $250. Any additional projects will be defined by scope and cost under separate agreement(s).

  • Staff Retained Search -Talbott Talent may conduct Staff Retained Searches for specific positions upon request and in receipt of a separate, signed agreement and retainer for this service. The fee for Talbott Talent’s Staff Retained Search is 25% of the accepted compensation, including salary and estimated bonus.

  • Executive Search – Fractional Recruiting services do not include searches for an Executive Director, CEO, President or comparable role. The fee for Talbott Talent’s Executive Search is 35% of the accepted compensation, including salary and estimated bonus. 

11. PAYMENT TERMS

Initial payment of the following amounts is due prior to commencement of services and is non-refundable:

  • Onboarding fee equal to the amount of the monthly fee

  • Retainer equal to the amount of the monthly fee, to be applied to the final month of service, should the engagement end, in accordance with the method(s) described in the TERMINATION section of these Terms & Conditions

  • First month fee for services

Monthly invoices are issued the 1st day of each month and due within 10 days, for the following month of service.

If a position is canceled after being submitted to Talbott Talent, a cancellation fee of $250 may be charged.

Online payment via a link provided on Talbott Talent’s invoices is encouraged.

Late fees will be charged for invoices not paid in full within 10 days. This fee is calculated as 1.5% per month on the unpaid balance until paid in full. In any dispute involving monies owed to Talbott Talent, Talbott Talent shall be entitled to all costs of collection, including reasonable attorney’s fees and interest at 15% per annum or the highest rate allowed by law. This agreement shall be governed by and construed in accordance with the laws of the State of Indiana.
