Terms & Conditions

1. DELIVERABLES

Services commence upon receipt of your signed AGREEMENT and payment in full, as explained in the FEES section of these Terms & Conditions.

Services provided include:

  • Compensation recommendations

  • Sourcing of candidates through job postings and recruitment from Talbott Talent’s network of known candidates; you have the first right of refusal on candidates sourced for your position(s) before they are offered to other organizations

  • Job posting creation and submission on one job board (costs of additional postings are the responsibility of your organization)

  • Collection of applicant materials

  • Evaluation of applicants

  • Behavioral-based interviews

  • Presentation of top candidate(s)

  • Scheduling of top candidates to meet with you

  • Guidance on hiring decisions

  • Facilitation of offers

  • Reference checks

2. FEES

The fee for Recruiting Essentials is $2,996 per candidate placed in a position. The fee for Recruiting Essentials with a 90-day guarantee is $4,996 per candidate placed in a position. All fees are non-refundable and due prior to services being delivered.

Client is obligated to pay an additional fee for any candidates placed in a position, beyond the number in the agreement, who are hired within one year following Talbott Talent’s presentation of the candidate. This includes hiring within the Client’s organization or with any subsidiary, affiliate or related organization.

3. TAXES 

Client shall be responsible for all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, state, or local governmental entity on any amounts payable by Client hereunder.

4. EXPENSES

No additional expenses to perform this service will be charged, beyond those described in these Terms & Conditions. 

5. TECHNOLOGY

This is a virtual-only service and Talbott Talent will manage all positions and candidates through its Applicant Tracking System (ATS). ATS and other technology costs are included in the fee for services, as explained in the EXPENSES section of these Terms & Conditions. 

6. DISCLAIMER OF WARRANTIES

Talbott Talent is not responsible and shall not be held liable for the performance or actions of candidates placed.  Any advice given on hiring practices is based on Talbott Talent’s professional recruiting experience and should not be construed as legal advice. TALBOTT TALENT MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE SERVICES, INCLUDING ANY (A) WARRANTY OF MERCHANTABILITY; OR (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; OR (C) WARRANTY OF TITLE; OR (D) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.

7. GUARANTEE

Talbott Talent does not guarantee candidate placements resulting from Recruiting Essentials.

Recruiting Essentials with Guarantee: Talbott Talent guarantees that if the candidate hired for this position, under the terms of this agreement, leaves voluntarily or is discharged due to misconduct or good cause within 90 days the service will be repeated for no additional fee. The guarantee is effective upon the new hire’s first day of work. To trigger the guarantee, Talbott Talent must be notified in writing within five working days of the new hire’s last day of work. Good cause is defined as documented, unsatisfactory performance of reasonable standards for any person in the same position. The guarantee does not apply if the termination is a result of a layoff for economic reasons, elimination of the position, a substantial change in the job description or reporting structure, or any other reason beyond Talbott Talent’s or the new hire’s control. Client will not be entitled to any refund of fees, and Talbott Talent shall not be liable for any compensatory or other damages resulting from the employment of the candidate.

8. RESPONSIBILITY

For a successful partnership:

You agree to give your full cooperation by providing detailed and accurate information about wages, benefits, and everything a successful candidate is expected to have in the way of experience, skills, and qualifications for each position. This includes responding to requests for input, feedback, and information requested by Talbott Talent in a timely manner. If at any time, the position, title, responsibilities, or job description for a position are altered so significantly that a new pool of candidates must be sourced, a new Recruiting Essentials agreement must be submitted by Client. In the event this occurs, Client will not be entitled to any refund of the prior fee or retainer, and a new fee will be due for the new position.

Talbott Talent agrees to provide services as described in the DELIVERABLES section of these Terms & Conditions.

Both parties agree to maintain confidentiality during the term of this agreement and for a period of five years after the agreement terminates, including information about:

  • Your organization’s employees

  • Candidates sourced

  • Talbott Talent’s strategies, processes, work products, and fees

9. DURATION

Regardless of results, this agreement ends 90 days following payment and no additional services will be provided without additional fees paid. 

10. OUT-OF-SCOPE

Upon the explicit, written request from you, the following services may be provided:

  • Hourly Consulting - Advice and guidance on matters outside the scope of services, as described in the DELIVERABLES section of these Terms & Conditions. A special, active Client rate of $150 per hour will be charged, provided you have not provided notice of termination of services when consultation is delivered. Talbott Talent’s regular Hourly Consulting Rate is $250. Any additional projects will be defined by scope and cost under separate agreement(s).

  • Staff Retained Search -Talbott Talent may conduct Staff Retained Searches for specific positions upon request and in receipt of a separate, signed agreement and retainer for this service. The fee for Talbott Talent’s Staff Retained Search is 25% of the accepted compensation, including salary and estimated bonus.

  • Executive Search – Fractional Recruiting services do not include searches for an Executive Director, CEO, President or comparable role. The fee for Talbott Talent’s Executive Search is 35% of the accepted compensation, including salary and estimated bonus. 

11. PAYMENT TERMS

Client’s signature on the Recruiting Essentials agreement confirms acceptance of these terms and conditions.

A non-refundable fee ($2,996 for Recruiting Essentials or $4,996 for Recruiting Essentials with Guarantee) will be due upon signing the Recruiting Essentials agreement.

Online payment via a link provided on Talbott Talent’s invoices is encouraged.

Late fees will be charged for invoices not paid in full within 10 days. This fee is calculated as 1.5% per month on the unpaid balance until paid in full. In any dispute involving monies owed to Talbott Talent, Talbott Talent shall be entitled to all costs of collection, including reasonable attorney’s fees and interest at 15% per annum or the highest rate allowed by law. This agreement shall be governed by and construed in accordance with the laws of the State of Indiana.
